Terms of Service
Commercial and acceptable-use terms reflected in the NextGenERP product lifecycle.
Eligibility and authority
NextGenERP is a business service. The person registering represents that they are authorized to act for the business, provide accurate information and manage users, permissions and lawful use of uploaded data.
Accounts and acceptable use
Customers are responsible for credentials, user access, source-data accuracy, lawful instructions and maintaining appropriate exports. The service must not be used for unlawful activity, abuse, security interference, malware, unauthorized surveillance, intellectual-property infringement or attempts to access another customer's data.
Plans, trials and limits
Plan prices, limits, features, taxes and trial eligibility are shown before selection and remain configurable by NextGenERP. An eligible business receives one 30-day trial under the published trial policy. Changing plan, billing cycle or user count does not restart the trial. Whether a payment mandate is required during trial is a published configurable policy.
Annual billing and monthly equivalent
Core subscription pricing may show a monthly equivalent for comparison, while the independently configured annual price is collected annually in advance. The checkout must disclose the actual annual charge, taxes, billing frequency and next payment date before authorization. Customers expressly authorize recurring annual payments through the enabled provider.
Renewal, payment failure and taxes
Subscriptions renew for the selected cycle unless cancelled. Applicable GST and other taxes are added as disclosed. A failed payment enters retry and a configurable grace period, initially seven days, before business mutations are restricted. Replayed payment events must not create duplicate invoices or extend service twice.
Cancellation
Customers may cancel future renewal from Subscription & Billing. By default, cancellation takes effect at the end of the current paid period and access continues until then. Annual cancellation does not automatically refund unused months. Cancellation is distinct from requesting account closure.
Suspension and immediate termination
NextGenERP may suspend or terminate immediately for fraud, abuse, material security risk, legal requirement or serious terms violation, with a recorded reason and audit trail. Customer-requested closure follows identity, export, retention and legal-review steps.
Data, confidentiality and security
Customers retain control of submitted business data. NextGenERP may process it only as needed to provide, secure and support the service and meet applicable obligations. Each party must protect confidential information and promptly address relevant security incidents under the agreement and DPA.
Expiry, export and retention
After grace or the paid cancellation period, the product is designed to allow login, viewing, invoices, reports, renewal and self-service export for a configurable window, initially 30 days, while blocking new business records. Additional retention and scheduled deletion follow the published policy, subject to tax, financial, security, backup, contractual and legal requirements.
Intellectual property and third-party services
NextGenERP and its licensors retain rights in the software, branding and documentation. Customers retain rights in their data. Payment, email, hosting, analytics and integration providers are governed by their applicable terms and the published sub-processor information.
Availability, support and changes
Service levels, support channels and any implementation services are those stated in the selected plan or order form. Features and policies may change with appropriate notice; changes do not silently convert monthly pricing into annual charges.
Warranties, liability, indemnity and disputes
Final warranty disclaimers, liability caps, indemnities, governing law, jurisdiction, dispute resolution, legal entity details and notices require counsel approval and the executed order form. Nothing in these terms excludes rights or liabilities that cannot lawfully be excluded.
